CCBA Special Business

NOTICE OF PROPOSED CHANGE TO THE CCBA RULES

The Executive Committee of the Central City Business Association believe that it would be beneficial for the governance of the CCBA if members of the Executive Committee were elected for 2 years.  Two year terms would mean that there would be continuity on the Executive Committee if there were a number of changes of members on the committee after any AGM, and it gives members of the Executive Committee longer tenure to make a contribution to the committee.

The intention is that half the Executive Committee would be up for re-election at each AGM, and each member of the Executive Committee (including the Chairperson, Treasurer and Secretary) is elected for two year terms.  There would continue to be an AGM every year.

To achieve the cadence of two year terms and half the Executive Committee being up for re-election at each AGM, it is proposed that amendments to the Rules of the Central City Business Association (the Rules) be presented at the upcoming AGM to vote on.  Two thirds of the members of the Association present and voting at the AGM need to vote in favour of the resolution for the change to be made to the Rules.  The resolution that will be presented for voting on:

Do you vote in favour of the amendments to Rule 15 and 16 of the Rules so that members of the Executive Committee are elected for two year terms with the intent that Members of the Executive Committee are elected for two year terms and half the Executive Committee are up for re-election every year?

The proposed changes to Rule 15 and 16 are attached to this notice and a full copy of the Rules are available on request.  The current members of the Executive Committee have approved the suggested amendments to the Rules.

If the resolution is passed at the AGM by two thirds of the members of the Association present and voting at the AGM, this will be the first election where members of the Executive Committee can be elected for two year terms.  The intention is that half the elected candidates will be elected for one year and the other half shall be elected for two years.  Whether a candidate is elected for one or two years depends on their length of tenure on the Executive Committee with the longest serving members being elected for one year.  In the event that there are two or more people that could either be elected for one or two years, their length of tenure at this election will be determined alphabetically.
